Terms of Service

1. ACCEPTANCE OF TERMS

By accessing or using AccessStudents ("Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. DEFINITIONS

"Students": High school seniors, college students, and recent graduates registered on the Platform.

"Employers": Companies, recruiting agencies, and organizations using the Platform to recruit and evaluate talent.

"Schools": Universities, colleges, school districts, and educational institutions that may integrate with the Platform.

"Career DNA™": AI-generated behavioral compatibility and psychological fit assessments.

"Red Flags™": System that identifies potential hiring risks or concerning behavioral patterns.

3. PLATFORM OWNERSHIP & NO EMPLOYMENT/EDUCATIONAL GUARANTEE

CRITICAL: AccessStudents is NOT an employer, educational institution, staffing agency, employment placement service, or hiring authority. The Platform does not guarantee employment, acceptance, interviews, or opportunities. AccessStudents is a technology platform that facilitates connections and provides information only.

AccessStudents is a proprietary platform owned by AccessStudents, Inc. All intellectual property, trademarks, and platform technology are our exclusive property.

4. STUDENT RESPONSIBILITIES

• Provide accurate, truthful information on profiles
• Verify all claims (GPA, certifications, experience)
• Obtain consent before sharing educational records
• Maintain account security and password confidentiality
• Comply with school and employer terms
• Not impersonate others or misrepresent credentials
• Not harass, threaten, or abuse employers or mentors
• Not scrape or extract data from the Platform
• Comply with all applicable laws and regulations
• Understand that visibility/sharing can be controlled but not fully guaranteed private

5. EMPLOYER RESPONSIBILITIES

• Use Platform only for legitimate hiring and talent evaluation
• Comply with all anti-discrimination and employment laws
• Do not use Career DNA™ or behavioral data as sole hiring criteria
• Do not discriminate based on protected characteristics
• Respect student privacy and visibility settings
• Do not engage in harassment or inappropriate outreach
• Do not scrape, extract, or misuse student data
• Honor Red Flag™ and safety concerns raised by Platform
• Comply with Employer Code of Conduct
• Do not recruit outside of Platform permissions
• Provide truthful job descriptions and compensation information

6. SCHOOL & INSTITUTION RESPONSIBILITIES

• Comply with FERPA and student data privacy laws
• Obtain proper student/parent consent before data sharing
• Maintain separate data environments if required
• Supervise administrator accounts and access
• Respect student ownership of their data
• Do not require students to share Career DNA™ assessments

7. AGE & ELIGIBILITY REQUIREMENTS

• 18+ Students: Can create independent accounts with full access
• Under 18 (High School): Require parental/guardian consent and school authorization
• No children under 13: In compliance with COPPA
• You represent that you meet these requirements by using the Platform

8. PROHIBITED CONDUCT

Users must NOT:

• Post discriminatory, harassing, or threatening content
• Upload false credentials, counterfeit documents, or misleading videos
• Engage in sexual harassment or inappropriate advances
• Scrape data, automate access, or reverse-engineer the Platform
• Impersonate others or create fake profiles
• Post hate speech, violence, or illegal content
• Engage in fraud or misrepresentation
• Violate others' intellectual property or privacy rights
• Attempt to bypass security measures
• Use Platform for purposes other than intended

9. PROFILE ACCURACY & CREDENTIAL VERIFICATION

AccessStudents reserves the right to:

• Verify student credentials (transcripts, certifications)
• Remove or suspend accounts with false information
• Flag unverified claims
• Reject credential verification requests that appear fraudulent
• Penalize users who submit false information

10. VIDEO CONTENT & MEDIA RIGHTS

• Students retain ownership of videos they upload
• By uploading, students grant AccessStudents a license to host, display, and analyze videos
• Students control who can view their videos (private, limited, or public)
• AccessStudents may use anonymized video data for algorithm improvement
• Students acknowledge videos may be viewed by employers and will be subject to analysis systems
• AccessStudents may not sell or rent student videos to third parties

11. AI-GENERATED INSIGHTS & LIMITATIONS

AccessStudents AI systems provide informational insights only. Users acknowledge:

• Career DNA™ is not a medical, psychological, or clinical assessment
• AI recommendations are not guaranteed to lead to employment or success
• AI systems have limitations and may contain errors
• Employers must comply with applicable employment laws when using AI insights
• AI systems should not be used as sole hiring criteria
• Red Flags™ are algorithmic suggestions, not legal determinations

12. LIABILITY LIMITATIONS

TO THE FULLEST EXTENT PERMITTED BY LAW:

• AccessStudents is provided "as-is" without warranties
• AccessStudents is not liable for employment outcomes, career success, or opportunities
• AccessStudents is not liable for third-party conduct (employers, schools, students)
• AccessStudents is not liable for data breaches caused by user negligence
• AccessStudents is not liable for psychological harm or adverse outcomes from assessments
• Maximum liability is limited to amounts paid by user in past 12 months
• AccessStudents is not liable for indirect, incidental, or consequential damages

13. ARBITRATION & DISPUTE RESOLUTION

• Any disputes shall be resolved through binding arbitration
• Class action lawsuits are prohibited
• Disputes will be arbitrated under JAMS rules
• Arbitration will occur in Los Angeles, California
• Each party bears its own legal fees unless arbitrator awards them

14. INTELLECTUAL PROPERTY

• All Platform content, technology, and systems are our exclusive property
• Users grant us license to use their profile data and content
• Users may not use our trademarks, logos, or intellectual property without permission
• Career DNA™, Red Flags™, and related systems are proprietary

15. ACCOUNT SUSPENSION & TERMINATION

AccessStudents reserves the right to:

• Suspend or terminate accounts that violate these Terms
• Remove content that violates policies
• Permanently ban users for serious violations
• Delete accounts and data upon request (see Data Deletion Policy)
• Suspend accounts without notice if imminent harm exists

16. PAYMENT & SUBSCRIPTION TERMS

• Premium features require paid subscription
• Subscriptions auto-renew unless canceled
• Refunds follow the Payment & Billing Policy
• AccessStudents may modify pricing with 30 days notice
• Enterprise contracts have separate terms

17. USER-GENERATED CONTENT

• Users retain ownership of content they create
• By posting, users grant AccessStudents a non-exclusive license
• AccessStudents may use anonymized content for research and improvement
• Users are responsible for content accuracy and legality
• AccessStudents may remove content that violates policies

18. MODIFICATIONS TO TERMS

AccessStudents may modify these Terms at any time. Continued use constitutes acceptance. We will notify users of material changes.
